1. Acceptance of Terms

By placing an order with Bhartiya Exports, you (“Buyer”) agree to these Terms & Conditions. All sales, quotations, invoices, and deliveries are governed by these Terms unless specifically agreed in writing by Bhartiya Exports.

2. Contract Formation

A binding contract is created only when Bhartiya Exports issues a written order acceptance or proforma invoice after receipt of the Buyer’s purchase order and applicable advance payment.

3. Product Description & Availability

Product descriptions, images, and specifications are provided for reference. Minor variation in color, texture, finish or design may occur, especially for handcrafted or natural-material products. All products are subject to availability at the time of order acceptance.

4. Pricing, Taxes & Charges

Prices are quoted in USD / EUR / GBP or as agreed in writing. Prices do not include customs duties, taxes, freight, insurance, or other destination charges, unless explicitly stated. Bhartiya Exports reserves the right to adjust pricing due to changes in material costs, exchange rates, or external factors prior to order acceptance.

5. Orders, Bulk Quantities & Minimum Order

Bhartiya Exports operates on a bulk-order-only basis with specified minimum order quantities for all product categories. All orders must meet the applicable bulk quantity requirements communicated at the time of inquiry or quotation.

6. Payment Terms

Payment terms (Advance, Letter of Credit (LC), Telegraphic Transfer (TT), etc.) are specified in the proforma invoice. Unless otherwise agreed, a percentage of the order value is payable in advance before production begins, and the balance is due prior to shipment. For LC payments, the LC must be irrevocable and confirmed by a bank acceptable to Bhartiya Exports.

7. Production & Lead Times

Production timelines commence only after order confirmation and receipt of required payment. Lead times are approximate and subject to change due to factors beyond our control, including raw material availability and logistics delays.

8. Packaging & Shipping

All products are packed using export-grade materials to ensure protection during transit. Shipping and delivery are conducted as per agreed Incoterms (e.g., FOB, CIF, CFR, DDP) specified in the contract. Once goods are handed over to the carrier, risk of loss or damage passes to the Buyer.

9. Customs, Import, and Compliance

Buyers are responsible for import documentation, customs clearance, duties, taxes, and compliance with destination country regulations. Bhartiya Exports may assist in providing export documentation such as Commercial Invoice, Packing List, Bill of Lading/Airway Bill, Certificate of Origin, and other required certificates.

10. Title & Risk

Title to the goods remains with Bhartiya Exports until full payment has been received in cleared funds. Risk transfers to the Buyer upon delivery of the goods to the carrier at the agreed point of shipment.

11. Warranties & Limitations

Bhartiya Exports warrants that goods supplied will conform to agreed specifications at the time of shipment. No other warranty, express or implied, including fitness for a particular purpose, is provided. Bhartiya Exports’ liability is limited to the value of the goods supplied. Under no circumstances shall Bhartiya Exports be liable for indirect, consequential, or special damages.

12. Export Control & Compliance Laws

Buyers agree to comply with all applicable export control, import regulations, and international trade laws of both India and the destination country. The Buyer shall not re-export goods to prohibited destinations or violate any trade compliance laws.

13. Force Majeure

Bhartiya Exports shall not be liable for delays or non-performance due to causes beyond its reasonable control, including but not limited to acts of God, strikes, government actions, fire, flood, pandemics, war, or carrier delays.

14. Governing Law & Jurisdiction

These Terms & Conditions shall be governed by the laws of India. Any dispute arising out of or related to these Terms shall be subject to the exclusive jurisdiction of Indian courts.

15. Entire Agreement

These Terms and Conditions constitute the entire agreement between the parties relating to the sale of goods, superseding any prior communications or agreements.

16. Bulk Orders Only

All orders placed with us are bulk export orders. We do not process retail, trial, or single-item purchases. Minimum order quantities apply to all products, and order confirmation is subject to meeting the specified bulk quantity requirements
